Dividends and Interest on shareholders’ equity
Ambev pays cash dividends and Interest on shareholders’ equity in Brazilian Reais, so exchange-rate fluctuations will affect the U.S. dollar amounts received by holders of ADRs on the conversion into U.S. dollars of cash dividends paid in Brazilian Reais on the shares represented by the ADRs.

Taxation
Any cash dividends paid to ADR holders on behalf of Ambev will be paid in U.S. dollars and are generally taxable, just like dividends on U.S. shares. Further, cash dividends paid by Ambev are exempt from withholding tax and interest on own capital paid by Ambev are subject to 15% withholding tax under Brazilian law.
